1. Introduction
1.1 Nomenclature and Definitions
Throughout these Terms of Service, the terms "Woiz," "Woiz AI," and "the Service" refer to the same platform and services operated by Woiz AI LLC ("Company," "we," "us," or "our"). These terms are used interchangeably and have identical meaning.
1.2 Agreement to Terms
Welcome to Woiz AI, a service operated by Woiz AI LLC. These Terms of Service ("Terms") govern your access to and use of the Woiz AIplatform, including our website, mobile and desktop applications, APIs, and all other associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

2. Service Description
Woiz AI is a professional SaaS platform offering an AI-powered voice-based 24/7 virtual assistant that handles customer calls, manages appointments, answers queries, and captures leads for businesses. Our Service provides a business owner interface for account management, business profile configuration, and viewing call records. The Service is designed for legitimate businesses in specific industries operating in the United States, Canada, Australia, and New Zealand.
3. Eligibility and Account Creation
3.1 Eligibility Requirements
To use our Service, you must:
- Be at least 18 years of age
- Operate a legitimate business in an eligible industry (see section 3.3)
- Be based in the United States, Canada, Australia, or New Zealand
- Have the authority to enter into these Terms on behalf of the business you represent
- Provide accurate and complete information during the registration process
3.2 Account Creation
When you create an account, you must:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
- Be responsible for all activities that occur under your account
3.3 Eligible Business Types
Woiz AI services are only available to legitimate businesses in the following industries:

We do not provide services to businesses involved in:
- Illegal activities of any kind
- Drug or pharmaceutical sales
- Firearms or weapons
- Alcohol production or sales
- Adult entertainment or pornography
- Gambling or lottery operations
- Money laundering or unregulated financial services
We reserve the right to refuse service to any business that we determine, in our sole discretion, is engaged in prohibited activities or operates outside our eligible industries or regions.
4. Subscription and Payment Terms
4.1 Subscription Plans
To access the Service, you must subscribe to one of our payment plans. Subscription fees are charged in advance on a monthly basis and are non-refundable.
4.2 Payment Processing
Payments are processed through our secure payment processor. By providing payment information, you:
- Represent that you have the authority to use the payment method
- Agree to pay all charges at the prices then in effect for your subscription
- Authorize us to charge your chosen payment method for our Service
4.3 Subscription Changes
You may change your subscription plan at any time. Upgrades will take effect immediately. Downgrades will take effect at the end of the current billing cycle.
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle. After cancellation, you will lose access to our Service, but your data will be retained for 30 days after the effective cancellation date.
4.5 Refund Policy
All subscription payments are non-refundable. We do not provide refunds for partially used subscription periods or for unused call minutes.
4.6 Price Changes
We reserve the right to adjust pricing for our Service or any components thereof at our sole discretion. If we change pricing, we will provide notice of such change at least 30 days in advance.
4.7 Payment Failures and Service Suspension
We are not liable for service suspension or interruption resulting from failed payments, billing system issues, or payment processor outages. You are responsible for maintaining valid payment information and ensuring successful payment processing.
5. Phone Numbers, Call Recording, and Processing
5.1 Phone Number Assignment
Woiz AI assigns a dedicated phone number to your business through our telecommunications provider. This phone number:
- Is assigned for your use only while you maintain an active subscription
- Is not owned by you and cannot be transferred to another service
- Will be reclaimed by us if your subscription is cancelled
- May become unavailable due to telecommunications provider issues beyond our control
5.2 Call Recording and Transcript Generation
For each and every call handled through our Service, whether recording is enabled or not:
- Automatic Transcript Generation: A call transcript is automatically generated using automated speech recognition and transcription services
- LLM Processing: The transcript is passed through Large Language Models (LLMs) to identify the purpose and intent of the call
- Lead Extraction: Lead information is automatically created when a potential business opportunity is identified, including caller interest, requirements, and qualification status
- Contact Management: Contact details (names, phone numbers, email addresses) are extracted from conversations and automatically created or updated in your contact database
- Audio Recording (Optional): Where recording is enabled, call audio is recorded and stored for your review
5.3 Recording Consent Requirements
YOU ACKNOWLEDGE AND AGREE THAT:
- Federal and state laws govern the electronic recording of telephone conversations, and YOU ARE SOLELY RESPONSIBLE for complying with all applicable call recording and consent laws in your jurisdiction
- Certain jurisdictions require all-party consent before recording telephone conversations (including California, Connecticut, Delaware, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Pennsylvania, and Washington)
- YOU MUST OBTAIN all necessary consents from call participants before usingWoiz AI's call recording features
- YOU WILL IMPLEMENT appropriate disclosure mechanisms, including but not limited to automated announcements, to inform all call participants that:
- The call is being recorded
- The call will be transcribed and processed using artificial intelligence technology
- Call data may be analyzed, stored, and used to extract business information
- Woiz AI is NOT LIABLE for your failure to obtain proper consent or provide required disclosures
- No Woiz AI services are represented or warranted to comply with electronic recording laws in any specific jurisdiction. LEGAL COMPLIANCE IS YOUR SOLE RESPONSIBILITY
5.4 Recording Disclosure Compliance and Limitations
While Woiz AI may provide tools to facilitate recording disclosures (such as automated announcements):
- These tools MAY NOT FUNCTION CORRECTLY in all circumstances
- These tools DO NOT GUARANTEE legal compliance
- These tools DO NOT SUBSTITUTE for your legal obligations
- Disclosure announcements may fail to play due to technical issues
- Disclosure announcements may be inaudible due to audio quality issues
- The AI agent may forget to announce or fail to properly disclose that recording is in progress
- Disclosure mechanisms may be skipped due to call routing or transfer issues
Woiz AI IS NOT RESPONSIBLE FOR:
- Technical failures of disclosure mechanisms
- Skipped or inaudible disclosure announcements
- Customer configuration errors preventing proper disclosure
- Inadequate disclosure wording or content
- Missed disclosures due to call routing, transfer, or AI agent errors
- Any legal consequences arising from failure to provide proper recording disclosures
5.5 Recording Reliability and Failures
WOIZ AI DOES NOT GUARANTEE THAT:
- All calls will be successfully recorded
- Recordings will be complete, undamaged, or playable
- Recording features will be available at all times
- Storage infrastructure will be error-free
Recording failures, data loss, or corruption may occur due to:
- Network connectivity issues
- Telephony carrier problems or third-party service outages
- Storage capacity limitations or hardware failures
- Data center outages, disasters, or security incidents
- Software failures or bugs
- User error or configuration issues
- Force majeure events (natural disasters, pandemics, wars, terrorism, civil unrest, government actions)
You are responsible for:
- Regularly downloading critical recordings
- Maintaining independent backups of essential call data
- Not relying solely on Woiz AI for permanent record retention
5.6 Call Data Retention
Call recordings and transcripts are retained for three (3) months from the date of the call while you maintain an active subscription. If you downgrade your subscription, your call data will continue to be retained. If you cancel your subscription, your call data will be retained for 30 days from the effective date of cancellation before being permanently deleted.
5.7 Data Access Restrictions
All data related to your business, including call recordings, transcripts, lead information, contact details, and appointments, is ACCESSIBLE ONLY TO YOU (the business owner) and authorized users you explicitly grant access to. Your business data is completely isolated from other customers.
6. User Responsibilities
6.1 Accurate Business Information
You are responsible for providing accurate information about your business, including but not limited to:
- Business name and description
- Operating hours and contact information
- Services, products, and pricing
- Appointment availability and policies
This information will be used by our AI virtual assistant to interact with your customers. WE ARE NOT RESPONSIBLE for any inaccuracies in this information or consequences thereof, including incorrect responses to callers, misinformation about your services, or business losses resulting from inaccurate business profile data.
6.2 Knowledge Base Accuracy
You are responsible for:
- Maintaining accurate and current knowledge base content
- Regularly reviewing and updating information in your knowledge base
- Ensuring information retrieved from your knowledge base is appropriate for callers
WOIZ AI IS NOT LIABLE for incorrect or outdated information retrieved from your knowledge base that results in inaccurate responses to callers.
6.3 Compliance with Laws
You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and industry standards, including but not limited to:
- Business licensing requirements
- Consumer protection laws
- Data privacy regulations (GDPR, CCPA, etc.)
- Call recording notification and consent requirements
- Wiretapping and eavesdropping laws
- Biometric privacy laws (Illinois BIPA, Texas CUBI, etc.)
- Industry-specific regulations (e.g., HIPAA for healthcare)
6.4 Content Guidelines
You agree not to use our Service to:
- Engage in any illegal activities
- Distribute malicious code or harmful content
- Harass, abuse, or harm others
- Infringe upon intellectual property rights
- Engage in deceptive practices or false advertising
- Circumvent any aspect of our Service
- Clone voices without proper consent (if voice cloning is enabled)
- Impersonate individuals or public figures without authorization
7. AI Virtual Assistant
7.1 AI Capabilities and Limitations
Our AI virtual assistant:
- Uses artificial intelligence to handle calls and provide information
- Is trained based on the information you provide about your business
- Has inherent limitations and may not handle all calls perfectly
- Is not a replacement for human judgment in all situations
7.2 Call Handling
The AI virtual assistant will:
- Answer calls on your behalf
- Provide information about your business
- Capture customer information
- Schedule appointments if enabled
- Transfer calls according to your specified rules
7.3 Customization
You may customize certain aspects of the AI virtual assistant, including:
- Voice selection
- Virtual assistant name
- Business information provided to callers
- Knowledge base for answering questions
- Calendar integration for appointments
7.4 AI Transcription Accuracy Disclaimer
AI transcription services are NOT 100% accurate. Transcription accuracy may vary based on:
- Audio quality and clarity
- Background noise and interference
- Speaker accents, dialects, and speech patterns
- Technical terminology or industry-specific language
- Multiple speakers or crosstalk
- Connection quality and network conditions
Under good conditions, our AI transcription services typically achieve 85-95% word accuracy. However, WE DO NOT GUARANTEE ANY SPECIFIC ACCURACY RATE, and actual performance may be lower depending on call conditions.
Transcripts may contain: misspelled words, incorrect word substitutions, missing words or phrases, incorrect punctuation, misidentified speakers, inability to distinguish similar-sounding words, or confusion of questions with statements due to lack of vocal inflection.
You are solely responsible for:
- Reviewing transcripts for accuracy before relying on them
- Verifying critical information independently
- Implementing human oversight where accuracy is essential
- Not using transcripts for decisions requiring absolute precision without independent verification
7.5 Automated Data Extraction Disclaimer
Woiz AI uses artificial intelligence to automatically extract lead information, contact details, appointment data, and other information from call transcripts. THIS EXTRACTION IS AUTOMATED AND MAY NOT BE COMPLETELY ACCURATE.
Automated extraction may result in:
- Incorrect contact information (names, phone numbers, emails)
- Missed or incomplete data fields
- Misclassified lead status, priority, or intent
- Incorrect appointment dates, times, or details
- False positives (extracting data that wasn't actually provided)
- Misidentified business opportunities or requirements
You must:
- Review automatically extracted data before relying on it
- Verify contact information before reaching out to leads
- Confirm appointment details directly with customers
- Implement human review processes for critical business information
- Not make significant business decisions based solely on automatically extracted data without independent verification
7.6 Service Feature Limitations
Woiz AI IS NOT LIABLE FOR:
- Appointment Scheduling Failures: Errors or failures in scheduling or managing appointments due to technical limitations, calendar integration issues, OAuth token expiration, or system malfunctions
- Notification Delivery Failures: Delayed or failed delivery of lead notifications, appointment reminders, or other notifications via SMS, email, push notifications, or webhooks
- Calendar Integration Issues: Synchronization errors, authentication failures, or service outages with Google Calendar or other third-party calendar providers
- Voice Synthesis Issues: Poor voice quality, robotic or unnatural voice output, garbled audio, or voice provider outages that affect caller experience
- Call Transfer Failures: Failed or dropped calls during transfer to human agents, incorrect transfer routing, or unavailability of transfer destinations
- Knowledge Base Errors: Incorrect or outdated information retrieved from your knowledge base, failed searches, or retrieval system malfunctions
- Lead Scoring/Qualification Errors: Incorrect lead scoring, misclassified lead priority, or misidentified lead status resulting in missed opportunities
- Data Export Failures: Failed or incomplete CSV exports, data export limitations, or formatting issues in exported data
- Webhook Failures: Failed or delayed webhook deliveries to external systems or CRM integrations, including API rate limiting issues
7.7 AI Processing Comprehensive Disclaimer
You acknowledge and agree that:
- Our Service utilizes AI agents to handle and process calls and data
- AI technology has inherent limitations and may not be perfect
- Woiz AI LLC and Woiz AI are NOT RESPONSIBLE OR LIABLE for any inaccuracies, mistakes, or incorrect information captured or provided by our AI agents
- You are responsible for reviewing call recordings, transcripts, extracted data, and AI-generated outputs periodically to ensure accuracy
- Business decisions made based on information provided by our AI agents are YOUR SOLE RESPONSIBILITY
- You assume all risks associated with using AI-powered services
8. Intellectual Property Rights
8.1 Our Intellectual Property
The Service and its content, features, and functionality are owned by Woiz AI LLC and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer or decompile any part of the Service
- Remove any copyright, trademark, or other proprietary notices
- Use our brand, trademarks, or logos without permission
8.2 Your Content
You retain ownership of any content you provide to the Service (your "Content"). By uploading Content to our Service, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute your Content solely for the purpose of providing the Service to you.
8.3 Voice Cloning Consent
If you use voice cloning features, you represent and warrant that:
- You have all necessary rights, licenses, and permissions to use and clone the voice
- You cannot clone voices of public figures or other individuals without their express written consent
- You comply with all applicable biometric privacy laws (Illinois BIPA, Texas CUBI, etc.)
- You are solely responsible for any claims arising from unauthorized voice cloning
9. Privacy and Data Protection
9.1 Data Collection and Use
We collect and process data as described in our Privacy Policy. By using our Service, you consent to our data practices as described therein.
WE NEVER SELL YOUR BUSINESS DATA OR YOUR CUSTOMER DATA TO ANYONE. We do not sell, rent, or trade your business information, call recordings, transcripts, lead information, contact details, or any customer data to third parties for marketing purposes or for any other commercial purpose.
9.2 Data Security
We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials. WE ARE NOT LIABLE for unauthorized access resulting from security incidents, despite our implementation of reasonable security measures.
9.3 Third-Party Services
Our Service integrates with third-party services. Your use of these integrations is subject to the respective terms and privacy policies of these services. We are not responsible for third-party service failures, outages, or data handling practices.
9.4 Server Locations and Data Processing
Currently, all our servers are located in the United States. We plan to deploy servers in the European Union and Australia once we reach 30 subscribers in each of these regions. Until then, all services will be provided from our US-based servers, and all data processing will occur in the United States. This may affect how your data is processed and the legal protections that apply to your data. By using our Service, you consent to the transfer of data to the United States and, when applicable, to other jurisdictions in which we operate servers.
WE ARE NOT LIABLE for data synchronization issues, performance degradation, or regional availability differences during multi-region deployment or server migrations.
10. Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR COMPLETENESS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
10.2 Service Availability
WE DO NOT GUARANTEE THAT:
- The Services will be available at all times
- The Services will operate without interruption or errors
- Defects or errors will be corrected in any specific timeframe
- The Services will meet your specific requirements
- Results obtained from the Services will be accurate or reliable
Service availability may be affected by scheduled maintenance, emergency maintenance, third-party provider outages, network issues, cybersecurity incidents, hardware/software failures, force majeure events (natural disasters, pandemics, wars, terrorism, civil unrest, government actions), or capacity limitations.
10.3 Third-Party Dependencies
The Service relies on third-party providers including telephony services, cloud infrastructure, AI/LLM providers, voice synthesis providers, calendar services, and payment processors. WOIZ AI IS NOT RESPONSIBLE for failures, performance issues, outages, or data handling practices caused by third-party providers.
10.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WOIZ AI LLC, Woiz AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF:
- (A) THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR
- (B) ONE HUNDRED DOLLARS ($100 USD)
THESE LIMITATIONS APPLY EVEN IF Woiz AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
10.5 Specific Liability Exclusions
WOIZ AI LLC AND Woiz AI SHALL NOT BE HELD RESPONSIBLE OR LIABLE FOR:
- Recording Failures: Failed, partial, corrupted, or lost call recordings; missed recording disclosures; or consequences of unavailable recordings
- Transcription Inaccuracies: Errors, omissions, or misinterpretations in automated transcripts; business decisions made based on incorrect transcripts
- Data Extraction Errors: Incorrect lead information, contact details, or appointment data extracted by AI; missed opportunities due to extraction failures
- AI Agent Errors: Incorrect information provided to callers; misunderstood requests; appointment scheduling errors; or any other mistakes made by AI virtual assistants
- System Unavailability: Service interruptions, downtime, or unavailability for any reason, including maintenance, technical issues, or force majeure events
- Notification Failures: Delayed or failed delivery of notifications via any medium (SMS, email, push, webhooks)
- Appointment Management: Errors or failures in scheduling, managing, or syncing appointments with calendar services
- Call Handling Issues: Dropped calls, failed call transfers, call routing errors, or telephony provider failures
- Voice Quality: Poor voice synthesis quality, robotic output, or voice provider issues
- Knowledge Base Errors: Incorrect or outdated information from your knowledge base resulting in inaccurate responses
- Data Export Failures: Failed or incomplete data exports or CSV generation
- Capacity Limitations: Call queuing, delays, throttling, or dropped calls during high-volume periods
- Integration Failures: Webhook failures, CRM sync errors, or third-party integration issues
- Security Incidents: Data breaches or unauthorized access despite reasonable security measures
- Payment Issues: Service suspension due to failed payments or payment processor failures
- User-Provided Data: Errors resulting from incorrect business profile information, inaccurate knowledge base content, or inadequate recording disclosures provided by you
10.6 Business Losses
WE ARE NOT RESPONSIBLE FOR ANY BUSINESS LOSSES, INCLUDING BUT NOT LIMITED TO:
- Lost revenue or profits
- Lost business opportunities or missed leads
- Business interruption or downtime
- Loss of business data or corrupted data
- Damage to business reputation or customer relationships
- Costs of procurement of substitute services
10.7 Force Majeure
Woiz AI shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including:
- Acts of God (earthquakes, floods, fires, storms, pandemics, epidemics)
- War, terrorism, civil unrest, riots, or government actions
- Labor disputes, strikes, or lockouts
- Internet, telecommunications, or utility failures
- Power outages or data center failures
- Third-party service provider failures
- Cyberattacks, security incidents, or DDoS attacks
10.8 System Unavailability and Security Incidents
IF OUR SYSTEM IS UNAVAILABLE FOR ANY REASON WHATSOEVER (INCLUDING BUT NOT LIMITED TO MAINTENANCE, TECHNICAL FAILURES, THIRD-PARTY OUTAGES, NETWORK ISSUES, CYBERATTACKS, OR FORCE MAJEURE EVENTS), Woiz AISHALL NOT BE HELD RESPONSIBLE OR LIABLE FOR ANY CONSEQUENCES, DAMAGES, OR LOSSES ARISING FROM SUCH UNAVAILABILITY.
IF OUR SYSTEM IS COMPROMISED FOR ANY REASON (INCLUDING BUT NOT LIMITED TO CYBERATTACKS, DATA BREACHES, SECURITY INCIDENTS, HACKING, UNAUTHORIZED ACCESS, OR ANY OTHER SECURITY VULNERABILITY), Woiz AI SHALL NOT BE HELD RESPONSIBLE OR LIABLE FOR ANY DATA LOSS, DATA THEFT, UNAUTHORIZED ACCESS, OR ANY CONSEQUENCES ARISING FROM SUCH SECURITY COMPROMISES.
You acknowledge that internet-based services are inherently vulnerable to security risks and unavailability, and you assume all risks associated with storing critical business data in cloud-based systems. You are solely responsible for maintaining independent backups of critical data.
10.9 User Assumption of Risk
YOU ACKNOWLEDGE THAT OUR SERVICE RELIES ON AI TECHNOLOGY, THIRD-PARTY PROVIDERS, AND COMPLEX SYSTEMS, WHICH MAY PRODUCE ERRORS, INACCURACIES, OR FAILURES. YOU ASSUME ALL RISKS ASSOCIATED WITH USING AI-POWERED SERVICES, AUTOMATED SYSTEMS, AND THIRD-PARTY INTEGRATIONS.
11. Indemnification
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS Woiz AI LLC, Woiz AI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms or applicable laws
- Your use or misuse of the Service
- Call Recording Violations: Your failure to obtain proper recording consent, provide required disclosures, or comply with wiretapping, eavesdropping, or privacy laws
- Biometric Privacy Violations: Violations of biometric privacy laws (Illinois BIPA, Texas CUBI, etc.) related to voice cloning or voice data processing
- Unauthorized Voice Cloning: Voice cloning of individuals or public figures without proper consent
- Your Content or business information provided to the Service
- Your infringement of any intellectual property or other rights of any third party
- Any harm caused to third parties through your use of the Service
- Regulatory enforcement actions or penalties arising from your use of the Service
This indemnification obligation will survive termination of your account and these Terms.
12. Termination
12.1 Termination by You
You may terminate your account and subscription at any time by following the instructions in your account settings.
12.2 Termination by Us
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
12.3 Effect of Termination
